中古自動車売買取引基本契約書

ビズポン株式会社（以下「甲」という。）とビズポンから自動車を購入者（以下「乙」という。）は、甲乙間で行われる中古自動車の売買取引について、次のとおり合意した。

(売買)

第１条 　甲と乙とは、甲を売主、乙を買主として、甲乙間で行われる中古自動車の売買については、書面による別段の定めをしない限り、本契約に定める条件にしたがって行うことを合意する。

（個別契約）

第２条　個別契約は、甲乙間で売買の対象とする中古自動車（以下「本件自動車」という）の種類・数量・価格・引渡し日・船積港を別途合意することにより、成立する。

(ＦＯＢ条件)

第３条　本件自動車の引渡し条件は、甲乙間で書面による別段の定めをしない限り、２０２０年版インコタームズに定めるところによる「Ｆ.Ｏ.Ｂ条件」とする。

（現状有姿）

第４条　本件自動車は中古自動車であり、甲は、本件自動車を現状有姿で乙に引き渡すものとする。

（支払）

第５条　本件自動車の代金は、甲が発行する請求書を乙が受領してから個別契約で合意の内容に従い、甲の指定した銀行口座宛に電信送金の方法で行われるものとする。

2 甲は、前項に基づく代金の支払確認後、船積書類を乙に交付する。

(担保責任)

第６条　甲及び乙は、本件自動車を現状のまま引き渡すことに鑑み、甲が別途書面にて乙に対して明示して保証した場合を除き、本件自動車の品質、性能及び目的への適合性に関して、甲は何らの保証をせず、担保責任を負わないことを相互に確認する。

(危険負担)

第７条　本件自動車に関する危険は、本件自動車が船積港で本船に積載された時点で甲から乙に移転する。

(所有権)

第８条　本件自動車の所有権は、本件自動車の代金全額が甲に支払われた時点で、甲から乙に移転する。

(解除)

第９条　甲は、乙が以下の事由に該当した場合、甲の単独の裁量により、本契約または個別契約を解除し、もしくは、本件自動車の出荷を延期することができる。

• （１）乙が履行期の到来した債務を弁済しない場合
• （２）乙の資産について差押えがなされ、または、乙が支払不能となった場合
• （３）乙が破産の申立てをうけ、または、解散した場合
• （４）乙の信用状態が著しく悪化した場合

２　前項に基づき甲が本契約または個別契約を解除し、もしくは本件自動車の出荷を延期した場合、乙は甲に対し、甲の被った損害のすべて（間接損害、弁護士費用を含む。）を賠償しなければならない。

（乙による誓約）

第１０条　乙は、甲に対し、本件自動車を、ロシア、北朝鮮、イラン・イスラム共和国、キューバ、シリア及びその他の日本国法令や米国のＯＦＡＣ規制等に基づく規制対象国の顧客または規制対象者に販売しないことを誓約する。

２　乙が前項の誓約に違反した場合、乙は甲に対し、甲の被った損害のすべて（間接損害、弁護士費用を含む。）を賠償しなければならない。

(不可抗力)

第１１条　地震、台風、洪水、津波等の自然災害、戦争、暴動、疫病の流行、政府による輸出入規制等の不可抗力により本件自動車の引渡しが遅延した場合、甲は履行遅滞の責任を負わない。

準拠法

第１２条　本契約及び個別契約は日本法に準拠し、日本法に基づいて解釈されるものとし、甲と乙とは、国際物品売買契約に関する国連条約（ウィーン売買契約）は本契約及び個別契約に対して適用されないことについて、合意する。

（管轄合意）

第１３条　甲及び乙は、本契約または個別契約に関し紛争が生じたときは、第一審の専属的管轄裁判所を東京地方裁判所とすることに合意する。

（解釈）

第１４条　 甲及び乙は、本契約の外国語版が作成された場合において、日本語版と外国語版の内容に差異が生じた場合は、日本語版が優先することを相互に確認する。
